Code of Ethics
Italian Legislative Decree no. 231 of 8 June 2001, containing “Regulations regarding the administrative responsibility of legal entities, companies and associations, including those without legal status” (in force since 4 July 2001), in implementation of Delegated Law no. 300/2000, introduced into Italian law, in accordance with the provisions of European law, a new system of “administrative” responsibility (characterised by substantially criminal profiles) for entities, legal entities and associations, deriving from certain types of offences committed or attempted by a manager, employee or collaborator in their own interest or to the advantage of the entities themselves. This responsibility is additional to the criminal liability of a natural person who materially committed the act constituting the offence.
Mindful of the need to ensure conditions of fairness and transparency in the conduct of business and company activities so as to protect its own position and image and that of its subsidiaries, the expectations of its shareholders and the work of its employees, Tangenziali Esterne di Milano S.p.A. has deemed it consistent with its company policies to adopt the organisation and management model provided for by Italian Legislative Decree 231/2001, as well as the Code of Ethics, a natural addition to the Organisational Model. The Code of Ethics identifies the values (honesty, loyalty, good faith, balance, fairness, diligence, transparency and impartiality) that must inspire the activities of all those who interact, on an ongoing or temporary basis, with the Company and the Group. Indeed the purpose of the Code of Ethics is to provide general ethical and conduct guidelines to be followed in the performance of activities, as well as to help prevent the administrative violations stemming from the offences provided for by Italian Legislative Decree no. 231/2001.
